Fees

As the parties agree to days of consultancy and/or travel in any particular month, these will be charged at rates agreed in writing under separate cover. Payment in Great British Pounds is due within 14 days of date of issue of the relevant invoice.

Expenses

The Client shall reimburse Prenwell Consulting Limited, the Consulting Company all expenses properly and necessarily incurred in the provision of its obligations, provided that, on request, the Consulting Company shall provide the Client with copies of such receipts, other evidence of actual payment of such expenses or mileage as the Client may reasonably require.

Late Payment

If the Client fails to make any payment due to the Consulting Company on the due date then, without prejudice to any other remedy available to the Consulting Company, the Consulting Company shall reserve the right to terminate this Agreement after giving reasonable written notice to the Client.

Limitation of liability

  1. The following provisions set out the Consulting Company’s entire liability to the Client in respect of:
    1. Any breach of its contractual obligations arising under this agreement; and
    2. Any representation statement or tortuous act or omission including negligence arising under or in connection with this agreement
  2. The Consulting Company shall not be liable to the Client for loss of profits goodwill or any type of special indirect or consequential loss (including loss or damage suffered by the Client as a result of an action brought by a third party).
  3. The Client hereby agrees to give the Consulting Company not less than 28 days in which to remedy any item covered under clause 1 above.
  4. The Client is aware that any advice given by the Consulting Company to enable products to be taken to market is not guaranteed, due to the nature of research and development and regulations.
  5. Except where required by law, the maximum liability of the Consulting Company shall not exceed the value of the payments received during the contract in question.
  6. The Consulting Company trades under English Law and English Jurisdiction.

Insurance

The Consulting Company undertakes to obtain insurance against liability for professional negligence in work done under this agreement and against third party liability whilst on the premises of the Client and agrees to provide evidence of the insurance to the Client upon request.

Confidential Information

Both Parties shall at all times keep confidential (and take all reasonable steps to procure that its employees and agents shall keep confidential) and shall not at any time for any reason disclose or permit to be disclosed to any person or otherwise make use of or permit to be made use of any information relating to the other Party’s business methods, plans, formulations, systems, finances, projects, trade secrets or provision of products or services to which it attaches confidentiality or in respect of which it holds an obligation to a third party, unless required by law.
